Definitions

"Stoculator," "we," "us," and "our" refer to Stoculator and its owners, operators, affiliates, and assigns.

"You" and "your" refer to the individual or entity accessing or using the Service.

"Service" refers to the Stoculator website located at stoculator.com, including all features, tools, data, content, and functionality available and operational at the time of your access or use. The Service does not include Announced Features or any functionality not yet released for general use, regardless of where such Announced Features are described, referenced, or displayed.

"Data" refers to all data, metrics, statistics, calculations, results, information, and content displayed on, generated by, or provided through the Service, including but not limited to historical price data, stock metrics, backtesting results, simulated performance data, and any other financial or analytical information.

"Announced Features" refers to any features, tools, or functionality described on the Service as "coming soon," "planned," "in development," "beta," "upcoming," or similar language indicating that such features are not yet available for use. Announced Features are not part of the Service and do not form part of any subscription or agreement.

Acknowledgment

These Terms and Conditions constitute an agreement between you and Stoculator governing your use of stoculator.com and the Service. These Terms set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service.

Your access to and use of the Service is also conditioned on your acceptance of and compliance with our Privacy Policy. Please read our Privacy Policy carefully before using the Service.

Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

No Investment Advice; Simulation Tool Only

You expressly acknowledge and agree that:

1. (a)The Service is a simulation tool that allows you to input your own parameters to test hypothetical investment strategies against historical data;
2. (b)All strategies, parameters, inputs, and decisions are yours alone. Stoculator does not recommend, endorse, or suggest any particular investment, strategy, or course of action;
3. (c)Backtested or hypothetical performance results have inherent limitations, do not reflect actual trading, and are not indicative of future results;
4. (d)Past performance of any security, strategy, or index is not a guarantee or predictor of future performance;
5. (e)Any investment decisions you make are made entirely at your own risk and discretion, and Stoculator shall have no responsibility or liability for any such decisions;
6. (f)You should consult with qualified financial, legal, and tax professionals before making any investment decisions.

Data Disclaimer

All Data provided through the Service is strictly "as is" and "as available" for general informational and educational purposes only.

You acknowledge and agree that:

1. (a)Data may be delayed, inaccurate, incomplete, or contain errors;
2. (b)We do not warrant the accuracy, completeness, timeliness, reliability, or availability of any Data;
3. (c)Data should not be relied upon for trading, investment, or any financial decisions;
4. (d)We are not responsible for any errors, omissions, interruptions, or delays in any Data;
5. (e)Data may be sourced from third-party providers, and we do not independently verify such Data;
6. (f)Backtesting and simulated results are hypothetical, have inherent limitations, and do not reflect actual trading or guarantee future results;
7. (g)You are solely responsible for independently verifying any Data before acting upon it;
8. (h)You may not redistribute, republish, resell, or commercially exploit any Data without our express written consent.

Announced Features; No Commitment to Deliver

(a) Stoculator may, from time to time, reference features or functionality that are not yet available, including features labeled as "coming soon," "planned," "in development," "beta," or similar designations ("Announced Features"). Such references are provided solely as a general indication of Stoculator's current development direction and do not constitute a commitment, promise, guarantee, or obligation of any kind to develop, release, or deliver such features.

(b) Stoculator reserves the right, at its sole and absolute discretion, to modify, delay, suspend, or permanently cancel any Announced Feature at any time and for any reason, without prior notice and without liability to you or any third party.

(c) The inclusion of Announced Features on any page of the Service — including but not limited to pricing pages, plan comparison pages, marketing pages, or feature lists — is for informational purposes only and shall not be construed as:

• A representation or warranty that such features will be delivered;
• A term or condition of any subscription plan;
• Part of the Service or the consideration for any subscription fees;
• A basis for any claim, chargeback, refund request, or cause of action.

(d) Your subscription entitles you only to access the features and functionality of the Service that are available and operational at the time of your use. You acknowledge that no subscription plan includes or guarantees access to Announced Features.

(e) The delay, modification, or cancellation of any Announced Feature shall not constitute a breach of these Terms, a failure to deliver the Service, or grounds for any refund, credit, or claim of any kind.

(f) You agree that you have not relied on the availability or future delivery of any Announced Feature in deciding to subscribe to or continue using the Service.

Assumption of Risk, Waiver, and Release of Claims

By using the Service, you expressly assume all risks associated with:

1. (a)Any investment or trading decisions you make, whether or not informed by use of the Service;
2. (b)Reliance on any Data, metrics, backtesting results, or other information provided through the Service;
3. (c)The accuracy, completeness, or timeliness of any information displayed on the Service;
4. (d)Any technical failures, interruptions, or errors in the Service.

To the fullest extent permitted by applicable law, you hereby waive, release, and discharge Stoculator, its owners, operators, affiliates, licensors, service providers, and their respective officers, directors, employees, agents, and assigns (collectively, the "Released Parties") from any and all claims, demands, damages, losses, liabilities, costs, and expenses (including attorneys' fees) of any kind, whether known or unknown, arising out of or in any way connected with:

1. (a)Your use of, or inability to use, the Service;
2. (b)Any investment or trading decisions you make;
3. (c)Any reliance on information, Data, or results provided through the Service;
4. (d)Any errors, inaccuracies, or omissions in the Service or its content;
5. (e)Any unauthorized access to or alteration of your data;
6. (f)Any conduct of third parties in connection with the Service.

This waiver and release applies regardless of the cause of action or legal theory, including but not limited to breach of contract, negligence, strict liability, or any other legal or equitable theory.

Some jurisdictions do not permit certain waivers or limitations. In such cases, this waiver and release shall apply to the maximum extent permitted by law.

Limitation of Liability

To the fullest extent permitted by applicable law:

(a) No Liability for Investment Decisions. Stoculator shall have no liability whatsoever for any investment, trading, or financial decisions you make, regardless of whether such decisions were informed by or connected with your use of the Service.

(b) No Liability for Data. Stoculator shall have no liability for any errors, inaccuracies, omissions, or delays in any Data, or for any actions taken in reliance on any Data.

(b.1) No Liability for Announced Features. Stoculator shall have no liability whatsoever for the delay, modification, suspension, or cancellation of any Announced Feature, or for any decisions you make in reliance on the anticipated availability of any Announced Feature.

(c) Exclusion of Damages. In no event shall Stoculator, its owners, operators, affiliates, licensors, or service providers be liable for any:

• Indirect, incidental, special, consequential, punitive, or exemplary damages;
• Loss of profits, revenue, savings, or failure to realize expected profits or savings;
• Loss or corruption of data;
• Investment losses, trading losses, or financial losses of any kind;
• Any other commercial or economic loss;

in contract, tort (including negligence), under any statute or otherwise, arising from or connected to these Terms or your use of the Service, even if Stoculator has been advised of the possibility of such damages.

(d) Contributory Conduct. Our liability to you for any loss or damage is reduced to the extent that you caused or contributed to the loss or damage.

(e) Sole Remedy. If you are not satisfied with the Service, your sole and exclusive remedy is to terminate your use of the Service in accordance with these Terms.

(f) Maximum Aggregate Liability. Stoculator's maximum aggregate liability to you for all claims arising out of or relating to these Terms or the Service, in respect of all incidents in any twelve (12) month period, shall not exceed the total fees actually paid by you to Stoculator in the twelve (12) months prior to the occurrence of the first incident giving rise to the claim.

(g) Statutory Rights. Nothing in these Terms is intended to limit or exclude any liability that cannot be excluded by law. Where applicable law implies any guarantee or warranty that cannot be excluded, our liability for breach of such guarantee or warranty shall be limited, at our option, to re-supplying the Service or refunding the fees paid for the affected period.

(h) Essential Basis. You acknowledge that Stoculator has set its fees in reliance upon the limitations of liability herein, and that these limitations form an essential basis of the agreement between the parties.

Indemnification

You agree to indemnify, defend, and hold harmless Stoculator and its owners, operators, affiliates, licensors, service providers, and their respective officers, directors, employees, agents, and assigns from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

1. (a)Your use of the Service;
2. (b)Your violation of these Terms;
3. (c)Your violation of any applicable law or regulation;
4. (d)Your violation of any third-party rights;
5. (e)Any content or data you submit to the Service;
6. (f)Any investment or trading decisions you make.

Intellectual Property

The Service and its original content, features, functionality, and Data are and will remain the exclusive property of Stoculator and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms.

You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or any Data without our express written consent.

For the avoidance of doubt, descriptions of Announced Features, including their names, descriptions, and any associated materials, are the intellectual property of Stoculator and may not be used to support any claim that such features were promised or guaranteed.

Account Responsibilities

If you create an account on the Service, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

We are not liable for any loss or damage arising from your failure to protect your account credentials.

Prohibited Uses

You agree not to use the Service:

1. (a)In any way that violates any applicable law or regulation;
2. (b)To redistribute, resell, or commercially exploit any Data or content;
3. (c)To attempt to gain unauthorized access to any portion of the Service;
4. (d)To interfere with or disrupt the Service or its servers;
5. (e)To use any automated means to access or scrape the Service;
6. (f)To impersonate any person or entity.

Modification of the Service

Stoculator reserves the right to modify, update, suspend, or discontinue any part of the Service (or the entirety of the Service) at any time, with or without notice, including but not limited to:

1. (a)Adding, modifying, or removing features and functionality;
2. (b)Changing the scope, nature, or availability of any feature within any subscription tier;
3. (c)Delaying, suspending, or cancelling the development or release of Announced Features.

Stoculator shall not be liable to you or any third party for any such modification, suspension, or discontinuance of the Service or any part thereof.

Payments and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Specifically, Paddle.com Market Limited handles orders for customers outside the United States, while Paddle.com Inc. handles orders for customers in the United States.

By purchasing a subscription, you agree to Paddle's Terms of Use and Privacy Policy, available at paddle.com.

All billing inquiries, payment disputes, and refund requests should be directed to Paddle or coordinated through us at info@stoculator.com.

Subscription fees, billing cycles, and renewal terms are as displayed at the time of purchase and are subject to Paddle's terms.

Subscriptions, Billing, and Refund Policy

(a) Automatic Renewal. Subscriptions renew automatically for successive billing periods unless canceled prior to the renewal date.

(b) Cancellation. You may cancel your subscription at any time through your account settings or by contacting info@stoculator.com. Cancellation will take effect at the end of the then-current billing period. You will retain access to paid features until the end of that period.

(c) No Refunds. All subscription fees are final and non-refundable except at Stoculator's sole discretion or where required by applicable law. We do not provide refunds or credits for unused subscription periods, plan changes, cancellations after billing, or the delay, modification, or cancellation of any Announced Feature. Your subscription fees are consideration for the Service as it exists at the time of your use and do not entitle you to any Announced Feature. Any discretionary refund granted in a specific instance shall not entitle you or any other user to a refund in similar circumstances.

(d) Merchant of Record. Payments are processed by Paddle.com Market Limited (for customers outside the United States) or Paddle.com Inc. (for customers in the United States) ("Paddle"), who acts as merchant of record. By purchasing a subscription, you agree to Paddle's Terms of Use and Privacy Policy, available at paddle.com. Notwithstanding Paddle's role, Stoculator's no-refund policy as stated herein governs your subscription.

(e) Billing Disputes. If you believe you were charged in error, contact us at info@stoculator.com within fourteen (14) days of the charge. We will review the matter but are under no obligation to issue refunds except where required by applicable law.

The Service may contain links to third-party websites or services that are not owned or controlled by Stoculator.

Stoculator has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Stoculator shall not be responsible or liable for any damage or loss caused by or in connection with the use of any such third-party websites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

Termination

We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will cease immediately.

All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation, ownership provisions, warranty disclaimers, assumption of risk, limitation of liability, indemnification, and the waiver and release of claims.

Severability and Waiver

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the federal laws of the United Arab Emirates, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the courts of Dubai, United Arab Emirates, and you hereby consent to the personal jurisdiction and venue of such courts.

You agree that any claim or cause of action arising out of or relating to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Changes become effective upon posting to our website.

By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, please stop using the Service.
